The Management Board of ERBUD S.A., with its registered office in Warsaw (the “Issuer”), announces that on 13 March 2026 it decided to delay the disclosure of inside information, pursuant to Article 17(4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (the “Market Abuse Regulation”), repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
The delayed disclosure is being made due to the fulfilment of a condition precedent provided for in the contract.

The Management Board of ERBUD S.A., with its registered office in Warsaw (the “Issuer”), announces that on 13 March 2026 it entered into a significant contract for the construction of cogeneration units comprising natural gas-fired engines (E-type gas) and the upgrade of the electrical switchgear at the Ostrów Wielkopolski Heating Plant, on the following terms:
- Date of execution: 13/03/2026
- Investor: GETEC Energia Spółka z ograniczoną odpowiedzialnością, with its registered office in Turek, ul. Korytkowska 14, 62-700 Turek
- Contract value (net): PLN 225,931,995.00 and EUR 6,346,400.00, plus remuneration for the performance of services of PLN 142,953.80 and EUR 133,534.00 per month for a period of 10 years from the commissioning of the investment project.
- Scope of the contract: Construction of four cogeneration units comprising gas engines with installed capacities of 2 × 3.1–3.3 MWe and 2 × 4.3–4.5 MWe, fuelled by type E natural gas, together with the upgrade of the electrical switchgear at the Ostrów Wielkopolski Heating Plant, including the construction of a grid connection
- Place of performance: Ostrów Wielkopolski
- Completion date: Completion by 30 November 2027; maintenance services to be provided for 10 years from commissioning of the final cogeneration unit
- Payment terms: 30-day payment term
- Performance bond / defect liability security: 15% of the net value of the remuneration, to be gradually reduced in accordance with the terms of the contract until 30 November 2029.
- Contractual penalties: The total contractual penalties payable by the Contractor for non-performance or improper performance shall not exceed 15% of the net value of the remuneration
