The Issuer's Management Board hereby announces that on May 28, 2025, it received information from its subsidiary Erbud International sp. z o.o. (ERBUD S.A. holds 100% of shares in Erbud International Sp. z o.o.) concerning the signing of a Significant Contract in the amount of PLN 56.8 million on the terms and conditions specified below:
1. Date of conclusion: May 28, 2025
2. Investor (full name and registered office): St. Jadwiga the Queen Provincial Clinical Hospital No. 2 in Rzeszów, with its registered office at 60 Lwowska Street, 35-301 Rzeszów
3. Net Contract value PLN 56,784,026.59
4. Subject of the Contract: Construction works related to the implementation of the Second Stage of the investment project entitled “Construction of a landing pad for HEMS helicopters with a multi-storey car park at the St. Jadwiga the Queen Provincial Clinical Hospital No. 2 in Rzeszów – preparatory stage for the construction of the Podkarpackie Centre for Paediatric Medicine”.
5. Place of Contract performance: 60 Lwowska Street, 35-301 Rzeszów
6. Implementation dates: May 28, 2025 - April 28, 2026
7. Payment terms: Monthly invoicing, payment term – 45 days
8. Performance bond (value, term): 5% of gross remuneration, i.e. PLN 3,492,217.64, with a term from May 28, 2025 to May 28, 2026
9. Retention bond (value and duration): 1.5% of gross remuneration, i.e. PLN 1,047,665.29, with a period of validity from May 29, 2026 to June 13, 2033
10. Other guarantees (type of guarantee, value, period of validity): not applicable
11. Penalties: The total amount of contractual penalties resulting from the Contract may not exceed 30% of the gross remuneration agreed for the subject of the Contract.
12. Note: The Ordering Party shall reserve the right not to perform the full scope of work in a situation which could not have been foreseen at the time of conclusion of the Contract and which did not arise through the fault of the Ordering Party or the Contractor, up to a maximum of 20% of the Contract value without any negative legal or financial consequences. In such a case, the Contractor's remuneration shall be reduced and the deadline for completion shall be shortened, whereby the Ordering Party shall pay for all services rendered and documented costs incurred by the Contractor in connection with the planned services resulting from the Contract.
