The Management Board of Erbud S.A. (the Issuer) hereby announces that on November 3, 2025, it was notified by its subsidiary IKR GmbH, in which the Issuer holds an indirect 100% stake, on entering into a Significant Contract with SMS group GmbH, subject to the following terms and conditions:
1. Conclusion date: 29.10.2025
2. Investor (full name and registered office) SMS group GmbH, Am SMS Campus 1, 41069 Mönchengladbach, Germany
3. Net Contract value: PLN 48,094,490.00 (EUR 11,350,000.00)
4. Subject matter of the Contract: Manufacture, installation and maintenance of pipelines and equipment, including scaffolding, cranes and lifting equipment, along with non-destructive testing.
5. Place of the Contract performance: Saarstahl AG in Völklingen
6. Implementation dates:
• Commencement of assembly: 01.02.2027
• Completion of assembly: 31.05.2028
7. Terms of payment: Do not deviate from market conditions
8. Performance bond (value, term): 10% of net Remuneration
9. Retention bond (value, term of validity): 5% of net Remuneration
10. Penalties: Maximum 10% of net Remuneration
